Service Schedule & Terms
Under the Media Package retainer, JACS (operated by QV CODE Pte. Ltd.) will deliver the following each calendar month: 30 Images (Photography, CGI, AI-enhanced visuals and ad creative) and 5 Videos (Short-form video, motion graphics, brand teasers and reels). All deliverables are final, ready-to-use assets.
- Scope — Monthly deliverables as listed above. Work outside this scope will be quoted separately in writing.
- Delivery — All assets delivered within the calendar month. Delivered work is final. No revisions are included.
- Payment — All fees are payable 100% in advance. Late payments beyond 7 days incur a 1.5% monthly late fee. Services may be suspended if payment is overdue beyond 14 days.
- Intellectual Property — Upon full payment, the Client receives a non-exclusive, perpetual licence to use delivered assets for its own business purposes. The Agency retains ownership of raw files and working documents.
- Confidentiality — Both parties shall keep confidential all proprietary information. This obligation survives termination for two (2) years.
- Termination — Either party may terminate with 30 days' written notice. Fees paid for the current period are non-refundable. Termination for cause (material breach, non-payment exceeding 30 days) may take immediate effect.
- Liability — Total liability shall not exceed fees paid in the preceding 12 months. Neither party is liable for indirect or consequential damages.
- Governing Law — This agreement is governed by the laws of the Republic of Singapore. Disputes are subject to the exclusive jurisdiction of the Singapore courts.
